Voi is the disciplined European operator that survived the scooter winter and got paid for it: in May 2026 Uber agreed to acquire the company for about $1.2B — the largest micromobility deal on record — validating a business Fredrik Hjelm and his co-founders built to profitability rather than blitzscale. The fundamentals justified the price: EBIT profitability reached in 2024, Q1 2026 revenue growth of 38% year over year, and a fleet of more than 100,000 e-scooters and e-bikes operating under hard-won permits across 70-plus European cities — regulatory real estate that cannot be bought quickly at any price, since city tenders run on multi-year cycles and incumbency with good compliance records wins renewals. For Uber, Voi is the missing last-mile layer of an all-in-one European transport platform against the merged Tier-Dott entity and Bolt; for Voi's investors, ~$544M raised converting to a $1.2B exit in a sector where Bird went bankrupt and Superpedestrian liquidated is a decisive relative victory. And the downside is unusually well-cushioned: if the deal somehow failed to close, Voi would remain what it already is — a profitable, growing category leader in a consolidating market where Lime's June 2026 Nasdaq IPO (seeking up to a $1.66B valuation) has just established a public-market comp and a second exit route. Integration into Uber's demand engine — the app already aggregates transit, taxis, and car share — should structurally lift utilization per vehicle, the single variable that drives micromobility economics. Voi enters the endgame as one of exactly three winners in European micromobility, and the only one that got a clean cash exit.

A signed deal is not a closed deal, and everything about Voi's situation now hangs on a transaction with genuine completion risk: EU competition review of a platform giant acquiring a leading micromobility operator — while Uber simultaneously holds a significant stake in Lime, the market's other major player — invites exactly the scrutiny that has delayed or reshaped platform acquisitions in Europe, and any remedies, divestitures, or abandonment would leave Voi in limbo after a year of integration planning paralysis. Even if it closes, $1.2B is a modest outcome dressed as a triumph: Voi became a unicorn in 2021, meaning late-stage investors who funded the intervening years of grind are exiting near flat, and the price — barely above 2021's private mark after five years — is itself the market's verdict on micromobility's ceiling. The underlying business remains structurally hard: fleets of 100,000-plus vehicles depreciate in two to four years and must be perpetually replaced from thin margins; revenue is violently seasonal in Northern Europe; and the permit regime that protects incumbents also caps them — cities cap fleet sizes, dictate pricing terms, and periodically ban scooters outright, as Paris did by referendum in 2023, erasing an entire market by vote. "EBIT profitability in 2024" is a carefully chosen metric that flatters a business whose free cash flow after fleet capex is far less impressive. Under Uber's ownership, Voi's brand and Stockholm organization face the standard acquirer playbook — absorption, then attrition; as a standalone, it would be a subscale operator watching Lime deploy fresh IPO proceeds and Tier-Dott consolidate. Either way, the independent bull case ended in May 2026; what remains is execution risk on someone else's strategy.
