LanzaTech is the most-scaled pure-play in gas fermentation, and after two brutal years its 2026 story is stabilization rather than survival. Q1 2026 revenue rose to $12.0M from $9.5M a year earlier, driven by a $4.6M jump in engineering-and-services revenue from new licensing projects, while operating expenses fell 59% to $13.5M and the net loss narrowed to $14.7M — the sharpest cost reset in the company's public life. Management stated that recent capital raises and cost reductions had alleviated the going-concern doubt that Deloitte had flagged for two consecutive years, and the balance sheet was patched with a $20M common-stock sale in January 2026 plus a further $10M in May, with an option for up to $20M more through May 2027. The core asset is real and hard to replicate: engineered acetogenic bacteria that ferment steel-mill off-gas, waste syngas, and captured CO2 into ethanol and chemical building blocks, licensed into commercial plants across China, India, and Europe. In a decarbonizing world where sustainable aviation fuel, bio-based packaging, and low-carbon textiles all need drop-in feedstocks, LanzaTech owns a defensible carbon-recycling platform. If the pivot toward higher-margin engineering services and licensing holds while opex stays lean, a sub-$100M market cap against roughly $58M of trailing revenue is a deeply distressed price for a category-defining technology.

LanzaTech remains a company whose stock trades in cents, not dollars: it executed a 1-for-100 reverse split in August 2025 purely to escape a Nasdaq minimum-bid delisting, and the shares slid back below $0.50 afterward, signaling that the market still prices meaningful bankruptcy risk. The going-concern relief is a twelve-month reprieve premised on capital raises that dilute existing holders each time, and the May 2026 auditor swap — dismissing Deloitte for BDO amid ongoing internal-control concerns — is the kind of governance signal that follows distressed companies, not thriving ones. The revenue base is small and lumpy; the growth came from engineering services, which are project-driven and non-recurring, not from the royalty-bearing production tonnage the original SPAC thesis promised. Gas fermentation's fundamental problem is unchanged: turning waste carbon into commodity ethanol competes against fossil-derived product at petrochemical prices, and the unit economics have never demonstrated durable profitability at scale. The SPAC-era valuation collapsed from billions to under $100M for a reason. Cost-cutting can extend runway but cannot manufacture demand, and LanzaTech still has to prove that licensed plants generate the recurring, high-margin cash flow that justifies the platform. Until then it is a cheap option on carbon recycling working — with a real probability the option expires worthless.
